Yumzip – Restaurant Partner Agreement

Effective Date: 16/02/2026

This Restaurant Partner Agreement (“Agreement”) is entered into between Yumzip (“Platform”) and the restaurant entity registering on https://yumzip.in (“Restaurant Partner”).

By registering or using Yumzip services, the Restaurant Partner agrees to the following terms:

1. Nature of Service

Yumzip is a Software-as-a-Service (SaaS) platform that enables restaurants to manage direct online food ordering systems.

Yumzip does not:

• Prepare food
• Handle delivery operations
• Control pricing decisions
• Employ restaurant staff

The Restaurant Partner operates independently.

2. Restaurant Responsibilities

The Restaurant Partner agrees to:

• Maintain valid food licenses (FSSAI or applicable authority)
• Ensure food quality, hygiene, and safety
• Maintain accurate menu pricing and descriptions
• Fulfill all confirmed orders
• Handle customer complaints professionally

The Restaurant Partner is solely responsible for food preparation and delivery execution.

3. Compliance With Laws

The Restaurant Partner must comply with:

• Food safety regulations
• Local business laws
• Tax regulations
• Consumer protection laws

Yumzip shall not be liable for non-compliance by the Restaurant Partner.

4. Payments & Fees

• Yumzip may charge subscription fees, service fees, or commission as agreed during onboarding.
• Payment gateway charges (if applicable) are separate.
• Delayed payments may result in temporary suspension.

All financial obligations must be cleared before service continuation.

5. Refund & Cancellation Policy

Refund decisions remain the responsibility of the Restaurant Partner.

Yumzip may assist in processing refunds but does not bear financial liability for refund amounts.

6. Platform Usage

The Restaurant Partner agrees not to:

• Use the platform for illegal activities
• Upload misleading content
• Manipulate pricing unfairly
• Violate intellectual property rights

Violation may result in suspension or termination.

7. Data & Privacy

• Customer data collected through Yumzip belongs to the Restaurant Partner.
• Yumzip may process data for operational purposes.
• Both parties must comply with applicable data protection laws.

8. Intellectual Property

Yumzip retains ownership of:

• Software code
• Design
• Branding
• Platform features

The Restaurant Partner retains ownership of:

• Restaurant name
• Logo
• Menu content

9. Limitation of Liability

Yumzip shall not be liable for:

• Loss of revenue
• Customer disputes
• Delivery delays
• Food-related health claims

Total liability shall not exceed the fees paid by the Restaurant Partner in the last 30 days.

10. Termination

Yumzip may suspend or terminate services if:

• Payment defaults occur
• Legal violations are identified
• Platform misuse is detected

Restaurant Partner may discontinue services with prior written notice.

11. Indemnification

The Restaurant Partner agrees to indemnify and hold Yumzip harmless against:

• Legal claims related to food safety
• Customer complaints
• Regulatory penalties
• Tax liabilities

12. Amendments

Yumzip reserves the right to update this Agreement. Continued use of the platform implies acceptance of revised terms.

13. Governing Law

This Agreement shall be governed by the laws of India.
Any disputes shall be subject to the jurisdiction of courts in [Guwahati, Assam].

14. Acceptance

By registering on Yumzip, the Restaurant Partner confirms that they have read, understood, and agreed to this Agreement.
