Growth Partner Terms & Conditions

1. Acceptance of Terms
By applying to and participating in the Yumzip Growth Partner Program ("Program"), you ("Partner") agree to be bound by these Terms and Conditions ("Agreement"). If you do not agree with any part of this Agreement, you must not participate in the Program. Yumzip reserves the right to modify these terms at any time. Continued participation in the Program after changes constitutes acceptance of the updated terms.
2. Partner Eligibility
To participate in the Program, you must: (a) be at least 18 years of age; (b) have a valid Indian PAN number for tax compliance; (c) maintain a valid bank account or UPI ID for commission payments; (d) accurately represent your business capabilities and audience; and (e) receive written approval from Yumzip. Yumzip reserves the right to approve or reject any application at its sole discretion without stating reasons.
3. Partner Obligations
As a Partner, you agree to: (a) promote Yumzip's products and services honestly and accurately; (b) not engage in spam, misleading marketing, or any deceptive practices; (c) not make any warranties or representations beyond what Yumzip officially publishes; (d) comply with all applicable laws, regulations, and advertising standards; (e) promptly disclose your affiliate relationship when promoting Yumzip; (f) not bid on Yumzip brand keywords in paid advertising without written permission; and (g) keep your account credentials confidential.
4. Commission Structure
Commission rates are determined by your partner type and the applicable Commission Plan active at the time of referral. Commission Plans are set by Yumzip administration and may be updated. The applicable rate is the one in effect on the date the referred merchant's subscription is confirmed. Yumzip reserves the right to modify commission rates with 30 days' notice. Retroactive adjustments are not applicable unless otherwise stated in writing.
5. Commission Hold Period
All commissions are subject to a hold period (configurable by Yumzip, default 7 days) after which they become available for withdrawal. Commissions may be reversed if the referred merchant cancels within the hold period, initiates a chargeback, or their payment fails. Commission calculations are final once released from hold. Yumzip is not liable for any expectation of earnings based on commissions that are reversed.
6. Payment & Withdrawals
Minimum withdrawal amount is ₹500. Payments are made via UPI, IMPS, NEFT, or RTGS to bank accounts within 5–7 business days of approval. Partners are responsible for providing accurate payment details. Yumzip is not liable for failed payments due to incorrect information. TDS (Tax Deducted at Source) will be deducted as per applicable Indian Income Tax regulations. Partners must provide a valid PAN for TDS compliance. Form 16A will be issued for applicable deductions.
7. Prohibited Activities
Partners must not: (a) create fake leads or self-refer; (b) offer unauthorised discounts or incentives to referred merchants; (c) engage in cookie stuffing or fraudulent tracking; (d) impersonate Yumzip employees or official communications; (e) reverse-engineer or scrape Yumzip platforms; (f) disclose confidential information obtained through the Program; (g) violate any third-party intellectual property rights; or (h) engage in any activity that damages Yumzip's reputation or business.
8. Intellectual Property
Yumzip grants Partners a limited, non-exclusive, non-transferable licence to use Yumzip branding materials solely for the purpose of promoting the Program as provided through the Marketing Kit. Partners may not modify, create derivative works from, or use Yumzip branding outside the scope of this licence. All intellectual property rights remain exclusively with Yumzip.
9. Confidentiality
Partners agree to maintain strict confidentiality regarding: commission rates (beyond what is publicly disclosed), merchant data and contact information accessed through the Program, technical information about Yumzip's platform, and business strategies or financial information shared by Yumzip. This obligation continues for 2 years after termination of the Partnership.
10. Term & Termination
This Agreement remains in effect until terminated by either party. Yumzip may terminate this Agreement immediately upon breach of these terms, fraudulent activity, reputational damage, or at its sole discretion with 30 days' written notice. Partners may terminate by providing 14 days' written notice. Upon termination, all pending commissions from confirmed subscriptions prior to termination will be paid per the normal schedule, subject to the hold period.
11. Limitation of Liability
Yumzip's total liability to a Partner under this Agreement shall not exceed the total commissions paid to that Partner in the 3 months preceding the claim. Yumzip is not liable for indirect, incidental, special, consequential, or punitive damages. Yumzip does not guarantee any specific level of earnings or merchant conversions. Partner's earnings depend on individual effort, market conditions, and other factors outside Yumzip's control.
12. Governing Law & Disputes
This Agreement is governed by the laws of India. Any dispute arising under this Agreement shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration under the Arbitration and Conciliation Act, 1996, with proceedings conducted in English in Bangalore, Karnataka, India. Nothing in this clause prevents either party from seeking urgent injunctive relief from a competent court.
13. Independent Contractor
Partners are independent contractors and not employees, agents, or legal representatives of Yumzip. Partners are solely responsible for their own taxes, insurance, and compliance with applicable laws. Nothing in this Agreement creates any employment, agency, joint venture, or partnership relationship.
